Affiliate Program Terms

The Framed Minds Affiliate Program (the “Program”) allows approved partners (“Affiliates,” “you”) to earn commissions by referring new customers to Framed Minds LLC (“Framed Minds,” “we,” “us,” “our”).

These Affiliate Program Terms (the “Affiliate Terms”) form a binding agreement between you and Framed Minds and are in addition to our Terms of Use and Privacy Policy. If there is a conflict between the Terms of Use and these Affiliate Terms, these Affiliate Terms govern your participation in the Program.

1. Program eligibility & account

To participate in the Program, you must:

• Be at least 18 years old (or the age of legal majority in your jurisdiction).
• Reside in a jurisdiction where we are legally able to offer the Program and make commission payments.
• Submit accurate, complete information during the application process.
• Have the legal capacity to enter into a binding contract.

We may approve or reject any application in our sole discretion. Reasons for rejection may include, without limitation, sites or promotional channels that are inconsistent with the Framed Minds brand, promote hate or discrimination, or contain illegal or inappropriate content.

You are responsible for maintaining the security of your affiliate account login and for all activity that occurs under your account. A single login may not be shared by multiple people or entities.

2. Enrollment & affiliate dashboard

After approval, you will receive access to an affiliate dashboard or portal where you can:

• Access your unique affiliate links and codes.
• View reports on clicks, referrals, and commissions.
• Update contact and payment information.

You must keep your profile, payment details, and tax information up to date. We may suspend payments or participation if we are unable to remit commissions due to incomplete or inaccurate information.

3. Affiliate links & tracking

Once enrolled, you will be assigned a unique affiliate identifier or links (“Affiliate Links”). You may place these links in your website, emails, social media, or other approved channels to promote Framed Minds offerings (such as courses, programs, assessments, memberships, or events).

To ensure accurate tracking and commission attribution:

• You must use the Affiliate Links or creatives we provide through the affiliate dashboard.
• You must not alter the tracking parameters or code embedded in those links.
• Affiliate Links should lead to an official Framed Minds page or product we designate.

Commissions are only generated when our systems automatically track a qualifying purchase via your Affiliate Links. We cannot award commissions for:

• Purchases that occur without a properly tracked Affiliate Link.
• Customers who clear cookies, use a different device or browser, or otherwise prevent tracking.
• Manually reported referrals that our systems cannot verify.

The tracking period (for example, how long a cookie remains active after a click) will be defined in the affiliate dashboard or program materials and may be updated from time to time.

4. Commissions & payments

You will earn commission on qualifying purchases made by customers who:

• Click on your Affiliate Link, and
• Complete a qualifying purchase of an eligible Framed Minds product within the applicable tracking period.

Commission rates, eligible products, and any special promotions will be disclosed in your affiliate dashboard or in program communications and may change from time to time at our discretion.

Commission validation

We reserve the right to review and adjust pending commissions to account for:

• Refunds, chargebacks, or disputed transactions.
• Fraudulent, misleading, or non-compliant promotion methods.
• Duplicate or self-referrals (purchases made by you or using your own link).

Payment threshold & schedule

Commissions will be payable once your cleared, approved balance exceeds $20 USD (or another amount specified in your dashboard). If your balance remains below the threshold, it will carry forward until the threshold is met.

Unless otherwise specified in the dashboard:

• Approved commissions are calculated monthly.
• Payments are made on a periodic basis (for example, monthly) in arrears, allowing time for refunds and disputes.
• Payments will be made via the payment method available in the affiliate system (e.g., PayPal, bank transfer).

You are responsible for any transaction fees, currency conversion charges, or taxes associated with your commissions. We may require tax forms or documentation where legally necessary.

5. Brand use & promotion guidelines

The Framed Minds brand carries a very specific tone and ethical stance. As an Affiliate, you agree to represent the brand accurately and respectfully.

Permitted use

You may:

• Use our name “Framed Minds” and program names to truthfully describe our offerings.
• Use approved logos, banners, and graphics that we provide in the affiliate dashboard.
• Share your personal, honest experience with Framed Minds in your own words (without making false or misleading claims).

Required disclosures

You must clearly disclose your affiliate relationship in any place where you promote Framed Minds, in line with the Federal Trade Commission (FTC) guidelines and similar rules in your jurisdiction. Examples of acceptable disclosures include:

• “If you use my link, I may earn a commission from Framed Minds.”
• “As a Framed Minds affiliate, I may receive compensation if you purchase through this link.”

Professional & therapeutic claims

You may not:

• Represent Framed Minds, Echo, or any assessment as therapy, medical treatment, or a substitute for professional care.
• Claim that Framed Minds diagnoses, cures, or treats mental health or medical conditions.
• Promise specific emotional, financial, or mental health outcomes.

Brand protection

You may not:

• Use our logos or brand assets in a way that suggests you are Framed Minds, our employee, or an official partner beyond being an affiliate.
• Register domains, social handles, or ads that include “Framed Minds” (or confusingly similar variations).
• Run paid search ads that bid on our brand name or trademarks without our written permission.

6. Your responsibilities

You are solely responsible for your promotional channels, content, and compliance with applicable laws and policies. This includes:

• The technical operation and security of your website, email list, and social channels.
• The accuracy, honesty, and appropriateness of your statements about Framed Minds.
• Ensuring your content does not infringe on any third-party rights (including copyright, trademark, or privacy).
• Having and honoring a privacy policy on your site or channels when required by law.
• Complying with all applicable marketing, advertising, and data protection laws, including but not limited to anti-spam laws (such as the CAN-SPAM Act in the U.S.) and disclosure requirements.

You are also responsible for ensuring that any team members, contractors, or agencies promoting Framed Minds on your behalf follow these Affiliate Terms.

7. Prohibited activities

You may not, in connection with the Program:

• Use deceptive, misleading, or manipulative tactics to generate clicks or sales.
• Use spam emails, unsolicited messages, or automated bots to promote Affiliate Links.
• Offer unofficial discounts, rebates, or incentives that are not expressly authorized by Framed Minds.
• Misrepresent Framed Minds, our services, or your relationship with us (e.g., claiming you are “partnered with Framed Minds as a therapist”).
• Operate websites or campaigns that contain hate speech, harassment, discrimination, adult content, or illegal activity.
• Use your own Affiliate Link to purchase Framed Minds products for yourself or on behalf of someone else.
• Alter or interfere with our website, tracking systems, or payment flows.
• Use Framed Minds content, including Echo outputs or assessment materials, to train or build competing tools or programs.

Any commissions generated through prohibited activities may be withheld, reversed, or result in termination from the Program.

8. Term & termination

The term of these Affiliate Terms begins upon our acceptance of your application and continues until terminated by you or by Framed Minds.

Either party may terminate participation at any time, with or without cause, by providing notice.

Upon termination:

• You must immediately stop using Affiliate Links and program materials.
• You must remove Framed Minds logos, banners, and promotional graphics from your channels.
• We may disable your access to the affiliate dashboard.

We may, in our sole discretion, withhold or reverse commissions that we believe were generated through fraudulent, illegal, or non-compliant methods. Commissions properly earned and above the payment threshold prior to effective termination (and not subject to refund or dispute) will be paid in the ordinary payment cycle.

9. Relationship of the parties

You and Framed Minds are independent contractors. These Affiliate Terms do not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship.

You do not have authority to make or accept any offers or representations on our behalf. You may not suggest that you are an employee, therapist, coach, or official partner of Framed Minds beyond your role as an independent affiliate.

10. Limitation of liability

To the fullest extent permitted by law:

• Framed Minds and its owners, officers, employees, contractors, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, or data arising out of or in connection with the Program.
• Our total liability for any claim related to the Program or these Affiliate Terms will not exceed the total commissions paid or payable to you under the Program in the six (6) months preceding the event giving rise to the claim.

11. Disclaimers

The Program, affiliate dashboard, tracking tools, and related materials are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Program will be uninterrupted, secure, or error-free, or that tracking will be perfect in every situation. We make no guarantee of any particular level of income or results from your participation in the Program.

12. Changes to the Program

We may modify, suspend, or discontinue the Program (in whole or in part) at any time, including the commission structure, eligible products, payment schedule, or other aspects.

When we update these Affiliate Terms, we will revise the “Last updated” date at the top of this page and may provide additional notice where appropriate. Your continued participation in the Program after changes become effective constitutes your acceptance of the updated Affiliate Terms.

13. Governing law & disputes

These Affiliate Terms are governed by the laws of the State of Texas and the United States, without regard to conflict of law principles.

Any dispute arising out of or relating to the Program or these Affiliate Terms will be resolved in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction in those courts.

Where required by law, you may have additional consumer or contractual rights in your country of residence, and these Affiliate Terms are not intended to limit those rights.

14. Miscellaneous

You may not assign or transfer your rights or obligations under these Affiliate Terms without our prior written consent. We may assign these Affiliate Terms at any time as part of a merger, acquisition, or other business restructuring.

If any provision of these Affiliate Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not constitute a waiver of that right or provision.

These Affiliate Terms, together with our Terms of Use and Privacy Policy, constitute the entire agreement between you and Framed Minds regarding your participation in the Program and supersede any prior or contemporaneous understandings.
